Terms and Conditions for RepCube

Welcome to RepCube!
These Terms of Service ("Terms") govern your access to and use of the RepCube website at https://app.repcube.com.au ("Website"), our software, QR routing pages, dashboards, analytics, notifications, and feedback tools (together, the "Services"), and any RepCube physical QR units ("Hardware"). By purchasing Hardware, creating an account, or using the Services, you agree to these Terms.
1. Description of RepCube
RepCube is a platform that offers a review management solution to assist businesses in dominating their local Google Maps presence. Our tools help you route customers to review platforms you select, track scan and redirect performance, gamify staff participation, and collect private feedback so you can resolve issues proactively.
No Guaranteed Outcomes: We do not guarantee review volume, star ratings, search ranking, revenue, or business performance. Results depend on many factors outside our control.
2. Account Responsibilities
You agree to provide accurate information, secure your credentials and limit access to authorized staff, configure your routing and messaging responsibly, and ensure staff behavior complies with applicable laws and platform rules.
3. Review Platform Compliance
You choose which review platform(s) to route End Users to (e.g., Google, TripAdvisor, Booking, Facebook). You are solely responsible for ensuring your use of the Services complies with each platform's terms, policies, and rules, and all applicable laws.
Review platforms may change their policies, ranking factors, UI flows, or enforcement practices at any time. RepCube is not responsible for policy changes, review removals, account suspensions, ranking impacts, enforcement actions, or any damages arising from platform decisions. RepCube provides tools; you must use them responsibly.
4. Review Integrity and Prohibited Conduct
You must not use RepCube to generate fake, misleading, or coerced reviews, impersonate others, harass or threaten End Users, manipulate rating systems, violate platform rules on incentives or solicitation, or engage in any illegal activity or misuse.
We may suspend or terminate accounts involved in abuse or conduct that creates deliverability or reputation risk.
5. Subscriptions, Billing, and Trials
5.1 Plans and Renewal
Subscriptions renew automatically unless cancelled before renewal. You can cancel in your account settings.
5.2 Fees and Refunds
Unless required by law, subscription fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, downgrades, or unused features. If you cancel, your access continues until the end of the current paid period.
5.3 Free Trials
If a free trial is offered, it converts to a paid subscription unless you cancel before the trial ends.
5.4 Failed Payments
If payment fails, we may retry and/or suspend service until payment is resolved. Chargebacks or suspected fraud may result in immediate suspension and/or account review.
5.5 Price Changes
We may change pricing with reasonable notice (e.g., via email or within the dashboard). Changes apply from the next renewal unless stated otherwise.
5.6 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law or other applicable laws that cannot be excluded.
6. Hardware Terms
Hardware may be shipped by third-party carriers. Risk passes on delivery, subject to any non-excludable consumer rights. Change-of-mind returns are not offered unless the item is unused and within 7 days of delivery. Defects and consumer guarantees apply as required by law.
7. Data, Ownership, and Content
You retain ownership of your business data. You grant RepCube permission to process and store data to provide and improve the Services. You are responsible for ensuring you have the right to collect and share any End User data you upload or receive through the Services.
8. User Data and Privacy
We collect and store user data, including name, email, and payment information, as necessary to provide our Services. We also use web cookies to collect non-personal data for the purpose of improving our Services and user experience. 9. Notifications and Communications
You consent to receive service communications related to the Services, including onboarding and activation messages, weekly and monthly reports, performance alerts, and billing notices. You are responsible for collecting any required consents from your staff or users where applicable. We may throttle or pause sending to protect sender reputation and system integrity.
10. Service Availability
The Services may be unavailable due to maintenance, upgrades, outages, or third-party issues. We do not promise uninterrupted availability. We may update, modify, or discontinue parts of the Services at any time.
11. Beta Features
If we label features as beta or preview, they may be unstable and are provided "as is." Beta features may change or be removed without notice.
12. Suspension and Termination
We may suspend or terminate access if you breach these Terms, misuse the Services, create security or deliverability risks, or fail to pay fees when due. Upon termination, your right to use the Services ends, subject to any legal obligations and non-excludable rights.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided "as available." We do not warrant that review platforms will accept, publish, or retain reviews. Third-party platforms are outside our control.
14. Limitation of Liability
To the maximum extent permitted by law, RepCube is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, reputation, data, or business opportunities.
Our total liability for all claims relating to the Services is limited to the fees you paid to RepCube for the Services in the 6 months before the event giving rise to the claim.
15. Indemnity
You agree to indemnify and hold RepCube harmless from claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services or Hardware, your breach of these Terms, your violation of third-party platform rules, or your unlawful conduct or misuse.
16. Force Majeure
RepCube is not liable for delays or failures caused by events beyond reasonable control, including internet outages, platform outages, supplier delays, natural disasters, and government actions.
17. Assignment
You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or asset sale.
18. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
19. Governing Law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state.
20. Updates to the Terms
We may update these Terms from time to time. Users will be notified of any changes via email or within the Services. Material changes will take effect from the next renewal unless stated otherwise.
